SKATIE Wholesale Terms & Conditions

1. Overview
SKATIE is proud to partner with select retailers that align with our brand values. These Terms outline the expectations, payment requirements, and policies that ensure a consistent experience for all wholesale partners. 

 

2. Account Approval & Eligibility
Wholesale access is available only to approved retail partners with a valid resale certificate or business license. SKATIE reserves the right to approve, deny, or revoke wholesale access at our discretion. All information provided by the Buyer must be accurate and current.

 

3. Ordering
All wholesale orders must be submitted through SKATIE’s official Shopify B2B portal or through an authorized SKATIE sales representative. Minimum order quantities (MOQ) or opening order amounts may apply. Orders are subject to product availability and SKATIE’s written confirmation. Orders may not be altered after submission without SKATIE’s written approval.

 

4. Pricing
Wholesale prices are confidential and may not be disclosed publicly or shared with unauthorized parties. Prices and product availability are subject to change without notice. Discounts, promotions, or special terms must be preapproved in writing by SKATIE.

5. Payment Terms
A 50% deposit is required at the time of order placement to confirm production or reserve inventory. The remaining 50% balance is due prior to shipment unless otherwise approved in writing by SKATIE. All orders must be prepaid unless the Buyer has been approved for Net 30 terms. Accepted payment methods include credit card, ACH transfer, or other payment options available through Shopify B2B. Late payments on Net 30 accounts may incur a finance charge of 1.5% per month or the maximum permitted by law. SKATIE reserves the right to hold or cancel shipments for overdue balances.

 

6. Shipping & Delivery
Buyer is responsible for all shipping costs, duties, customs fees, and taxes unless otherwise stated. Estimated ship dates will be provided at the time of order confirmation. SKATIE is not liable for delays caused by carriers, weather, or circumstances beyond our control. Risk of loss transfers to the Buyer upon delivery to the carrier.

 

7. Order Adjustments & Cancellations
Requests to modify or cancel an order must be submitted in writing within five (5) business days of placing the order. Prebook orders must adhere to assigned 30-day shipping windows unless otherwise approved in writing. SKATIE reserves the right to cancel or delay orders due to nonpayment, incomplete information, or noncompliance with these Terms.

 

8. Returns, Damages & Defects
Claims for shortages, damages, or defective merchandise must be submitted within seven (7) days of receipt of goods. Returns require written authorization from SKATIE. Unauthorized returns will not be accepted. Returned items must be in original, unworn, and resalable condition with tags attached. SKATIE does not accept returns for unsold merchandise or overstock.

 

9. MAP & Online Sales Policy
Retailers must adhere to SKATIE’s Minimum Advertised Price (MAP) policy, if applicable. Selling SKATIE products on third-party marketplaces (including Amazon, eBay, Walmart Marketplace, etc.) is strictly prohibited unless prior written consent is granted. Retailers may sell SKATIE products on their own e-commerce websites provided SKATIE’s branding and product presentation are consistent with brand standards.

 

10. Intellectual Property & Image Usage
All SKATIE trademarks, logos, product names, photography, and marketing materials are the exclusive property of SKATIE, LLC. Unauthorized use of SKATIE photography, imagery, or brand assets is strictly prohibited without written consent. Retailers based in or selling to the U.S. market may not use SKATIE’s official product photos, campaign imagery, or marketing content on their websites, social media, or marketing materials. Exceptions may be granted only in writing by SKATIE for approved international retail partners or collaborative campaigns. Retailers may create and use their own original product photography of SKATIE merchandise, provided such content accurately represents the products and upholds the brand’s aesthetic integrity.

11. Limitation of Liability
SKATIE shall not be held liable for indirect, incidental, or consequential damages, including loss of profits or revenue, arising from order delays, product defects, or other issues beyond our control. SKATIE’s total liability for any claim shall not exceed the amount paid by the Buyer for the affected goods.

 

12. Acceptance of Terms
By placing a wholesale order with SKATIE, the Buyer acknowledges that they have read, understood, and agreed to these Terms & Conditions. SKATIE reserves the right to update or modify these Terms at any time without prior notice. The most current version will always be available on the Shopify B2B platform.
